By creating an account, clicking "I agree", or accessing or using the Service, you accept these Terms on behalf of the organization you represent and warrant that you are authorized to bind that organization. Foretell is a business product. 2. The Service2. השירות

Foretell is a hosted software-as-a-service (SaaS) platform and API that produces AI-generated forecasts and evaluations. We may improve, modify, or evolve the Service over time. 4. Credits & packages4. קרדיטים וחבילות

The Service is billed through prepaid simulation credits — there are no subscription plans and nothing renews automatically. One credit runs one full simulation (always the full 1,000-agent depth), list-priced at $199. Credits never expire. Account balance (for example referral rewards) is a dollar amount applied to your purchases at checkout; it is not a simulation credit and has no cash value (see the Billing Terms). Fair use. The Service is subject to a fair-use governor: usage that materially exceeds normal patterns may be queued, deprioritized, or rate-limited rather than silently billed. Credit purchases are one-time payments made in advance through our payment provider; fees are exclusive of VAT and other taxes. 7. Cancellation & refunds7. ביטול והחזרים

There is no subscription to cancel — you can simply stop buying credits at any time, and you may delete your account whenever you wish (Section 16). Purchased credits never expire. A simulation that fails on our side is automatically refunded as a credit; refund requests for unused, recently purchased credits are handled reasonably as described in the Billing Terms, and credits already consumed by completed simulations are non-refundable. Any EU/EEA 14-day distance-contract withdrawal right generally does not apply to this business service. 8. Customer content & license8. תוכן הלקוח ורישיון

"Customer Content" means the documents, data, scenarios, and other materials you submit to the Service. You retain all rights in your Customer Content. You grant us a limited, non-exclusive, worldwide license to host, process, and use Customer Content solely to provide and support the Service to you — including running models and simulations and building your tenant-scoped organizational memory. You represent that you have all rights necessary to submit your Customer Content and to permit our processing of it under these Terms and the DPA. אתם מצהירים כי בידיכם כל הזכויות הנדרשות להגשת תוכן הלקוח ולמתן היתר לעיבודו על‑ידינו לפי תנאים אלה וה‑DPA.

Forecasting data. If you provide a numeric time series — or we derive one from your documents — for the quantitative-forecasting feature, you warrant that you have the right to provide that business data. • You own the Outputs. As between you and us, the prediction reports and other Outputs generated for you from your Customer Content are owned by you, and you may use them for your business purposes. Our handling of personal data is described in our Privacy Policy. Where we process personal data contained in Customer Content on your behalf, we act as your processor and you as controller, and our Data Processing Agreement (DPA) — including its standard contractual clauses for international transfers and AI-processing terms — applies and is incorporated by reference. 12. Service levels (SLA)12. רמות שירות (SLA)

The Service is provided on a commercially reasonable basis without a contractual uptime commitment. Simulation results are targeted for delivery within 24 hours of submission; a simulation that fails on our side is automatically refunded as a credit (Section 7). Each party may receive the other's confidential information. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel and contractors bound by confidentiality. A Foretell report is the output of a large-scale model simulation — a probabilistic model of possible outcomes, not a measurement of the real world. Quantitative forecasts and confidence readings are model-based estimates of likelihood and uncertainty, not assurances; agreement between the two engines increases model confidence but does not guarantee accuracy. Nothing in an Output is legal, financial, investment, public-relations, or other professional advice, no advisory or fiduciary relationship is created, and you retain sole responsibility for any decision you make on the basis of an Output. 15. Disclaimer of warranties15. היעדר אחריות

To the maximum extent permitted by law, the Service and all Outputs are provided "as is" and "as available", without warranty of any kind — express, implied, or statutory — including any implied warranty of accuracy, completeness, predictive validity, calibration, merchantability, non-infringement, or fitness for a particular purpose. You will defend and indemnify us against third-party claims arising from your Customer Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights. We will defend and indemnify you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual-property rights. We may update these Terms from time to time. For material changes, we will give reasonable advance notice (for example, by email or in-product notice) before they take effect. Continued use of the Service after the effective date constitutes acceptance. 20. Governing law & disputes20. דין חל ויישוב סכסוכים

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws rules. The competent courts of Tel Aviv–Jaffa, Israel have exclusive jurisdiction over any dispute, and each party submits to that jurisdiction — except that we may seek injunctive relief in any court of competent jurisdiction to protect our IP or confidential information. תנאים אלה כפופים לדיני מדינת ישראל, ללא התחשבות בכללי ברירת הדין. לבתי המשפט המוסמכים בתל אביב–יפו, ישראל סמכות שיפוט ייחודית בכל מחלוקת, וכל צד מקבל עליו סמכות זו — אלא שאנו רשאים לבקש סעד של צו מניעה בכל בית משפט מוסמך לשם הגנה על הקניין הרוחני או המידע הסודי שלנו.
